Deltek Pros^® Member Firm Notice

This Deltek Pros Member Firm Notice (this “Notice”) is being provided by Deltek, Inc., a Delaware corporation, to users of this website. Deltek is a leading global provider of software and solutions for project-based businesses. Deltek has entered into an agreement with partners (each a “Deltek Pros Member Firm”) to market its Deltek Pros Member Firm’s professional services (“Deltek Pros Member Firm Services”). Deltek Pros Member Firm is an independent contractor of Deltek. You are hereby notified that your relationship with a Deltek Pros Member Firm and your use or receipt of Deltek Pros Member Firm Services is and shall be governed by a separate agreement between Deltek Pros Member Firm and you (“Deltek Pros Member Firm-Customer Agreement”), to which Deltek is not a party and not responsible or liable in connection with. For clarity:

• Deltek Pros Member Firm may identify itself as an “Authorized Deltek Pros Member Firm” or “Deltek Pros Member Firm.” The term “partner” shall and does not imply any legal partnership concepts, but rather it has become common in the industry to use the term “partner” to characterize distributors and Deltek Pros Member Firm is in fact an independent contractor of Deltek. As an independent contractor, Deltek Pros Member Firm is not considered an employee, agent, partner, in a joint venture or representative of Deltek, nor does Deltek Pros Member Firm have any authority to bind Deltek in any respect.
• Deltek has not made and does not make, and you are not relying on, any express or implied warranties or representations regarding the value of a Deltek Pros Member Firm-Customer Agreement, Deltek Pros Member Firm Services or your ability to use the Deltek Pros Member Firm Services provided in connection with a Deltek Pros Member Firm-Customer Agreement to its advantage, profitability or benefit. Your sole right and remedy, with regards to Deltek Pros Member Firm Services, shall be specified in the Deltek Pros Member Firm-Customer Agreement.
• In no event shall Deltek be liable for any damages, costs or any other liabilities arising from or in connection with Deltek Pros Member Firm Services or a Deltek Pros Member Firm-Customer Agreement, regardless of the form of the action, whether in contract, tort (including negligence), strict liability or otherwise, even if Deltek is advised of the possibility of such costs or damages.
